Gian has nearly 20 years of experience counseling clients of different sizes and maturity, and in diverse industries, on a wide range of business and transactional matters. His experience spans the entire business lifecycle – from entity formation and early- and mid-stage financing, to commercial contracts and the structuring of strategic agreements, to navigation of exit events such as acquisitions and public offerings.
Gian regularly advises clients on matters arising in connection with investments, acquisitions and divestitures. This includes support regarding assessment, valuation, negotiation, due diligence, and integration/disentanglement. In connection with financings, he assists clients primarily with private placements and compliance with related securities laws. He also has extensive experience drafting and negotiating a variety of contracts – from more general business transactions to those entered in connection with strategic alliances and joint ventures.
Prior to joining Holland & Hart, Gian worked in the corporate departments of two international law firms before practicing in-house – first as legal counsel at an Atlanta-based Internet incubator and then, for over 12 years, at a large government services provider (where he held both legal and corporate development roles). In this latter role, Gian oversaw all legal and business activities arising from this company's corporate venture capital program. He was also subsequently assigned business roles overseeing the licensing and sales of intellectual property assets, divestitures of business units (including marketing and disentanglement activities) and new acquisitions (including integration activities).
Gian joined Holland & Hart LLP in 2013 and is admitted to practice in Nevada and New York. He began his career as a judicial clerk for the Honorable Alex T. Howard, Jr., of the United States District Court for the Southern District of Alabama.
